Welcome to IraChat. These Terms of Service ("Terms") govern your access to and use of the IraChat mobile application ("App"), operated by IraChat.
By creating an account, accessing, or using IraChat, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our App.
1. Definitions
"User" refers to any individual who creates a personal account and uses IraChat.
"Business" refers to any commercial entity or individual operating a business profile on IraChat to sell products or services.
"Institution" refers to educational institutions, organizations, NGOs, or companies that register on IraChat to post opportunities (jobs, scholarships, internships).
"Content" means any text, images, videos, audio, documents, or other materials uploaded, shared, or transmitted through the App.
"Opportunity" refers to job postings, scholarships, internships, freelance gigs, or other professional opportunities posted on the platform.
2. Eligibility
- You must be at least 13 years old to use IraChat.
- If you are between 13 and 18 years old, you must have parental or guardian consent.
- By using IraChat, you represent and warrant that you have the legal capacity to enter into these Terms under the laws of Uganda and your jurisdiction.
- You must provide accurate, current, and complete information during registration and update such information as necessary.
3. Account Types and Registration
3.1 User Accounts
Individual users may register using email address or Google account to access messaging, updates, and community features.
3.2 Business Accounts
Businesses may create profiles to showcase products, receive orders, and communicate with customers. Businesses must provide accurate business information and comply with all applicable consumer protection laws.
3.3 Institution Accounts
Educational institutions, organizations, and companies may register to post opportunities. Institutions must verify their legitimacy and ensure all posted opportunities are genuine and lawful.
3.4 Account Security
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorized use of your account.
- You may enable additional security features such as App Lock (PIN, pattern, or biometric authentication).
- We reserve the right to suspend or terminate accounts that violate these Terms.
4. Acceptable Use
You agree NOT to use IraChat to:
- Post illegal, harmful, threatening, abusive, harassing, defamatory, or objectionable content
- Impersonate any person, business, or institution
- Spam, phish, or distribute malware
- Violate any applicable laws or regulations, including the Uganda Data Protection and Privacy Act, 2019
- Infringe on intellectual property rights of others
- Collect or harvest user data without consent
- Interfere with or disrupt the App's functionality
- Attempt to gain unauthorized access to our systems or other users' accounts
- Post sexually explicit content or content involving minors
- Promote violence, discrimination, or hatred based on race, ethnicity, religion, gender, sexual orientation, disability, or nationality
- Post fraudulent business listings, products, or opportunities
5. User Content
- You retain ownership of all Content you create and share on IraChat.
- By posting Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your Content within the App for the purpose of operating and improving our services.
- You represent and warrant that you have all necessary rights to the Content you post and that such Content does not infringe any third-party rights.
- We reserve the right to remove any Content that violates these Terms without prior notice.
- Content shared in private messages is protected by end-to-end encryption. We cannot access the content of encrypted messages.
6. Business and Marketplace
- Users may create business profiles and list products for sale on IraChat.
- Businesses are solely responsible for the accuracy of their product listings, pricing, and fulfillment of orders.
- IraChat acts only as a platform connecting buyers and sellers. We are not a party to any transaction between users.
- Businesses must comply with all applicable consumer protection laws of Uganda, including the Sale of Goods Act and the Consumer Protection Bill.
- We reserve the right to remove business listings that violate these Terms or applicable laws.
- Users engaging in transactions do so at their own risk. We recommend verifying the legitimacy of businesses before making purchases.
7. Opportunities (Jobs, Scholarships, Internships)
- Institutions and verified users may post job opportunities, scholarships, internships, and other professional opportunities.
- Opportunity posters are solely responsible for the accuracy and legitimacy of their postings.
- IraChat does not guarantee the authenticity of any opportunity posted on the platform.
- Users are advised to conduct their own due diligence before applying for or accepting any opportunity.
- Fraudulent opportunity postings will be removed, and the responsible accounts may be permanently banned.
8. Messaging and Communication
- IraChat provides end-to-end encrypted messaging for private conversations.
- You may share text messages, photos, videos, and documents through the messaging feature.
- You are responsible for the content of your messages and must not use messaging for harassment, spam, or illegal activities.
- We may implement automated systems to detect and prevent spam and abuse, but we do not monitor the content of encrypted messages.
9. Insights (Educational Content)
- Users may watch and share educational videos, news, and trending content on the Insights tab.
- Content creators may upload educational videos of reasonable file size.
- All content must comply with our content guidelines and must not contain prohibited content.
- We reserve the right to remove content that violates these Terms.
10. AI Recommendations
IraChat uses AI-powered algorithms to recommend products, businesses, opportunities, and content to users based on their interests and activity.
- Recommendations are algorithmic, not endorsements. When we recommend a product or opportunity, we are suggesting it may be relevant to you based on data patterns, not vouching for its quality, legitimacy, or suitability.
- Users should conduct their own research before engaging with recommended businesses, products, or opportunities.
- IraChat is not liable for any losses or damages resulting from interactions with recommended content.
11. Intellectual Property
- IraChat and its original content, features, and functionality are owned by IraChat and are protected by international copyright, trademark, and other intellectual property laws.
- The IraChat name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of IraChat.
- You may not use our trademarks without our prior written consent.
- You may not copy, modify, distribute, sell, or reverse engineer any part of the App.
12. Privacy
Your use of IraChat is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
We are committed to protecting your privacy in accordance with the Uganda Data Protection and Privacy Act, 2019, and applicable international data protection standards.
13. Disclaimers
- IraChat is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.
- We do not warrant that the App will be uninterrupted, secure, or error-free.
- We do not endorse, guarantee, or assume responsibility for any product, service, or opportunity advertised or offered by Users, Businesses, or Institutions through the App.
- Any reliance on Content, opportunities, or business listings is at your own risk.
- AI recommendations are provided for convenience and do not constitute endorsement or guarantee of quality.
14. Limitation of Liability
- To the maximum extent permitted by applicable law, IraChat shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App.
- Our total liability for any claims arising from your use of the App shall not exceed the amount you paid to us, if any, in the twelve (12) months preceding the claim.
- We are not liable for any losses resulting from transactions between users or from fraudulent opportunities or business listings.
15. Indemnification
You agree to indemnify, defend, and hold harmless IraChat, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:
- Your access to or use of the App
- Your violation of these Terms
- Your violation of any third-party rights
- Your Content posted on the App
16. Termination
- You may terminate your account at any time by using the "Delete Account" feature in the App settings.
- We may suspend or terminate your account immediately, without prior notice, if we believe you have violated these Terms.
- Upon termination, your right to use the App will immediately cease, and we may delete your account and associated data in accordance with our Privacy Policy.
- Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
17. Modifications to Terms
- We reserve the right to modify these Terms at any time. We will notify you of material changes through the App or by email.
- Your continued use of the App after such modifications constitutes your acceptance of the updated Terms.
- If you do not agree to the modified Terms, you must stop using the App and delete your account.
18. Governing Law and Dispute Resolution
- These Terms shall be governed by and construed in accordance with the laws of the Republic of Uganda, without regard to its conflict of law provisions.
- Any disputes arising from these Terms or your use of the App shall first be attempted to be resolved through good-faith negotiation.
- If negotiation fails, disputes shall be submitted to the courts of Uganda, which shall have exclusive jurisdiction.
- For users outside Uganda, you agree that any disputes shall be resolved in accordance with Ugandan law and in Ugandan courts.
19. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
20. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and IraChat regarding your use of the App and supersede all prior agreements and understandings.
